1. Preamble & Definitions
These Terms and Conditions ("Terms") govern the access to and use of the Persona X intelligence layer, including the Symphony, Pulse, and Citadel engines (collectively, the "Services").
"Proprietary Data" refers to the analytical outputs, diagnostic scores (BVI, PPI), and simulation trajectories generated by the Services. "Client Output" refers solely to the underlying raw data provided by the Client.
2. Acceptable Use & Non-Circumvention
Access to the Services is granted strictly for internal corporate intelligence and strategic modeling. Clients are expressly prohibited from:
- Reverse engineering the predictive algorithms or simulation architecture of the Citadel engine.
- Utilizing the Pulse engine telemetry to bypass the firm and contact exposed network nodes or third-party suppliers directly for competitive intelligence outside the scope of the engagement.
- Reselling or syndicating Proprietary Data outputs to third-party consulting firms.
3. Intellectual Property
Persona X retains absolute and exclusive ownership of all underlying analytical models, diagnostic matrices, and visualization logic. The Client retains ownership of their raw operational data. The mathematical vectors and abstractions created by Persona X during the diagnostic phase are the intellectual property of Persona X.
4. Limitation of Liability
The Services provide mathematical probabilities and operational simulations, not financial guarantees. Persona X explicitly disclaims liability for market volatility, macroeconomic shifts, or business outcomes resulting from decisions made based on the Services. Maximum liability shall be strictly capped to the total amount paid by the Client to Persona X in the trailing twelve (12) months.
5. Dispute Resolution
Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC), seated in Singapore. The language of the arbitration shall be English.
